PivotIQ Ventures Private Limited Terms and Conditions of Use

1. Applicability and Acceptance
These Terms and Conditions of Use ("Terms and Conditions") apply to your use of and registration with PivotIQ's digital platform (the "Site").
Please Read These Terms and Conditions Before Accessing, Browsing, or Otherwise Using the Site.
Your access to, browsing, review, and use of the Site is subject to these Terms and Conditions and all applicable Indian laws. By accessing and using the Site, you accept these Terms and Conditions, without limitation or qualification2. If you do not agree to the Terms and Conditions, do not use the Site. If, at any time, any part of the Terms and Conditions is no longer acceptable to you, immediately terminate your use of the Site.
2. Right to Change, Modify, or Delete the Terms and Conditions
PivotIQ reserves the right to change, modify, add, or delete portions of the Terms and Conditions at any time, without prior notice5. Please re-review the Terms and Conditions periodically for changes. Your continued use of the Site will mean that you accept such changes or deletions.
3. Privacy and Data Protection
Please refer to PivotIQ’s Privacy Policy for information regarding the Company's collection, use, and storage of Data Principals' (users') personal data, which is governed by the Digital Personal Data Protection Act, 2023 (DPDP).
4. Copyright and Use of Site Content
This Site and all the information it contains, or may in the future contain, including articles, reports, text, guides, photographs, illustrations, trademarks, and logos (collectively, the "Content"), is the property of PivotIQ, and is protected by Indian Copyright law and other applicable intellectual property laws.
Limited License for Use
Subject to your full compliance with these terms, PivotIQ authorizes you to view the Content, make a single copy of it, and print that copy, but only for your own lawful, personal, noncommercial use). You must maintain all copyright, trademark, and other intellectual property notices contained in such Content, and the Content, or any part thereof, must not be modified.
Linking Policy
PivotIQ encourages and permits links to Content on the Site. However, PivotIQ does not grant any license for links or other use if such use:
● Suggests that PivotIQ promotes or endorses any third party's causes, products, or services12.
● Copies, displays, disseminates, or otherwise uses the Content without PivotIQ's express written consent13.
● Uses the Content for commercial purposes14.
We reserve the right to withdraw permission for any link at any time.
5. Prohibited Conduct
You may use the Site for lawful purposes only16. You may not upload to, or distribute or otherwise publish through the Site, any Content that is any of the following:
● Is libelous, defamatory, obscene, pornographic, abusive, harassing, or threatening, or otherwise objectionable to PivotIQ in the Company's sole discretion.
● Contains computer viruses, worms, or other contaminating or destructive elements.
● Violates the rights of others, such as Content that infringes any copyright, trademark, patent, trade secret, or violates any right of privacy or publicity19.
● Contains any false or misleading statement or advertising20.
● Otherwise violates any applicable Indian criminal or civil law21.
You may not use the Site for any commercial purpose and may not distribute over the Site any solicitation of funds, goods, or service2. You may not use the Site to solicit subscribers to join other online information services that are competitive with the Site.
6. Content Management and Removal
PivotIQ does not and cannot generally review the content posted by users of the Site ("Users' Content") and is not responsible for such Users' Content24. However, PivotIQ reserves the right to cancel your access to these areas and/or delete, move, or edit any Users' Content that it determines, in its sole discretion, violates the Terms of Use25. You shall remain solely responsible for all Users' Content posted by you or by any other person using your account.
PivotIQ prohibits the posting of any information that infringes the copyright rights and/or other intellectual property rights of any person or entity27. If you believe that your intellectual property right is infringed by any content on the Site, please write to our Data Protection Officer (Section 10) for immediate review and action.
7. Subscriber Qualifications
Individual subscriptions to the Site are available only to persons who are at least 18 years of age. Minors may receive access keys or user ID/passwords only as part of an authorized group subscription.
When registering, you must provide accurate, complete, and current information and agree to provide PivotIQ with any updates promptly. Your right to use the Site is personal to you and cannot be transferred to any other person.
8. Third Parties and Disclaimers
Third Parties
The Site may contain links to sites on the Internet that are owned and operated by third parties (the "External Sites"). PivotIQ has no responsibility for these External Sites, which are governed by their own terms of use and privacy policies.
Disclaimer of Warranties
THE SITE AND THE CONTENT ARE DISTRIBUTED ON AN "AS IS, AS AVAILABLE" BASIS. NEITHER PIVOTIQ NOR ANY THIRD PARTY CONTENT PROVIDERS MAKE ANY WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE35. You expressly agree that the entire risk as to the quality and performance of the Site and the accuracy or completeness of the Content is assumed solely by you36. Readers are responsible for assessing the relevance and accuracy of the Content on the Site37.
Limitation of Liability
It is unreasonable for any party to rely on the Content for any purpose. UNDER NO CIRCUMSTANCES SHALL PIVOTIQ be liable for any direct, indirect, incidental, special, or consequential damages arising out of the use of or inability to use the Site, or by reason of any person using or relying on the Content38.
9. Indemnification and Governing Law
Indemnification
You agree to indemnify, defend, and hold PivotIQ and its representatives harmless from and against any and all liability, losses, costs, and expenses (including attorneys' fees) incurred by PivotIQ in connection with any claim arising out of your use or alleged use of this Site or any breach by you of these Terms and Conditions.
Governing Law
These Terms and Conditions shall be construed in accordance with the laws of India, and all disputes shall be subject to the jurisdiction of the appropriate courts in India.
